Engagement Guidelines

Terms of Service

Last updated: October 2026 • Codiest Design & Software Studio

1. Acceptance of Terms & Engagement Model

By accessing this website ("codiest.co"), submitting an enquiry, reserving a discovery consultation, or executing a Statement of Work (SOW) with Codiest, you agree to be bound by these Terms of Service.

All client projects are delivered under fixed-scope Statements of Work or structured agile sprint agreements detailing deliverables, timelines, milestones, and commercial terms.

2. Intellectual Property (IP) Ownership & Transfer

We believe in complete transparency and absolute client ownership:

  • 100% Client Ownership: Upon receipt of final payment for the contracted project or milestone, all intellectual property rights—including custom Figma design systems, wireframes, prototypes, source code repositories, and proprietary graphical assets created specifically for you—are permanently transferred to you.
  • Open-Source Frameworks: Code built on open-source libraries (e.g., Next.js, React, Tailwind CSS) remains subject to their respective open-source licenses (MIT, Apache 2.0).
  • Portfolio Showcase Right: Unless explicitly restricted by an executed Non-Disclosure Agreement (NDA), Codiest reserves the right to display non-confidential visual previews and case study summaries of completed work in our digital portfolio.

3. Milestone Payments & Invoicing

Engagements are structured into predictable milestone phases to ensure mutual accountability:

  • Fixed-Price Projects: Typically invoiced as 50% upon contract signing to reserve sprint capacity and initiate discovery, and 50% upon final acceptance and code handover.
  • Sprint Retainers: Invoiced bi-weekly or monthly in advance of scheduled sprint cycles.
  • Accepted Payment Methods: Direct Bank Wire (USD, EUR, GBP), Stripe (credit/debit cards), Wise, PayPal, Payoneer, and major cryptocurrencies.

4. Revisions & Scope Management

Every project proposal includes designated revision rounds at the wireframe, high-fidelity UI mockup, and functional staging preview stages. Significant modifications requested outside the agreed Statement of Work will be scoped transparently as an addendum before work proceeds.

5. Post-Launch Warranty & Support

We stand behind the quality of our craftsmanship. All custom web development and software engineering projects include a 30-day post-launch warranty covering bug fixes, cross-browser defects, and technical discrepancies directly related to the contracted scope.

6. Confidentiality & Non-Disclosure

Both parties agree to protect and maintain confidential all non-public technical, strategic, and business information exchanged during the course of the engagement. We execute formal mutual NDAs prior to reviewing proprietary materials upon client request.
